Terms & Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Functions of Time Sdn. Bhd. (SSM 1493487-V) (“Company”, “we”, “our”, “us”), trading under the mark Left & Right™, and any person or entity engaging our services (“Client”, “you”, “your”).

By engaging our services, commissioning any bespoke or ready-made item, or making payment of any commitment fee or deposit, the Client is deemed to have read, understood, and agreed to be bound by these Terms in full.

  • For the purpose of these Terms:

    1.1 “Bespoke Project” means any commission requiring design, sourcing, and/or manufacture specific to the Client’s instructions.

    1.2 “Goods” means any jewellery, gemstone, or related item supplied by the Company.

    1.3 “Invoice” means the document issued by the Company stipulating consideration, milestones, and payment deadlines.

    1.4 “Commitment Fee” means the initial non-refundable amount payable prior to sourcing or design.

    1.5 “Production Calendar” means the Company’s internal scheduling for manufacturing, sourcing, and delivery.t goes here

  • 2.1 Clients are encouraged to initiate engagement six (6) to eight (8) months prior to the desired delivery date.

    2.2 A Commitment Fee of RM1,500 is payable before any sourcing or design work commences. The Commitment Fee is non-refundable but shall be credited against the second payment due under the Invoice.

    2.3 The Commitment Fee covers:

    • (a) sourcing services;

    • (b) reparation of two (2) to three (3) design proposals; and

    • (c) up to two (2) minor revisions.

  • 3.1 Sourcing gemstones generally requires one (1) to four (4) weeks, contingent on rarity and market availability. No guarantee of availability is given.

    3.2 Upon presentation of sourcing options, the Client shall provide written confirmation within twenty-four (24) hours to three (3) days for best procurement prospects.

    3.3 Full gemstone payment is required prior to procurement.

    3.4 Should a gemstone become unavailable, the Company shall, on a best-efforts basis, procure an equivalent or superior alternative.

    3.5 A second change of sourcing direction constitutes a new sourcing request, incurring an additional RM1,000 sourcing fee.

    3.6 Delays in Client decision-making are at the Client’s risk; consequential postponement of production or delivery shall not be deemed a breach by the Company.

    3.7 Photographs and videos are illustrative only; colour, hue, and brilliance may vary due to lighting conditions or screen discrepancies.

    3.8 Certifications will be provided where applicable and available.

  • 4.1 All Client-supplied gemstones are subject to visual inspection prior to acceptance. The Company reserves the absolute right to decline gemstones deemed unsuitable due to flaws, treatments, or setting risks.

    4.2 Inspection is limited and non-comprehensive; the Company shall not be held liable for observations, omissions, or inaccuracies resulting from inherent equipment or methodological limitations.

    4.3 The Client is strongly advised to obtain independent laboratory verification at their own cost. The Company accepts no liability for the acts, omissions, or determinations of third-party laboratories.

    4.4 While all reasonable care shall be exercised, the Company assumes no liability for loss or damage of Client-supplied gemstones arising from latent defects or flaws manifesting during unmounting, setting, or fabrication.

  • 5.1 All intellectual property rights in any sketch, drawing, CAD file, or design concept created by the Company remain vested in the Company.

    5.2 No design may be copied, distributed, reproduced, or commercialised by the Client or any third party without the Company’s prior written consent.

    5.3 Up to two (2) revisions of a proposed design are included.

    5.4 Any major deviation from the approved concept constitutes a new project and attracts an additional RM1,000 fee.

    5.5 Sketches are artist impressions only and not guaranteed to reflect final scale or proportion; reasonable variances shall not constitute a defect.

    5.6 Delayed approvals by the Client may impact the Production Calendar.

  • 6.1 A non-refundable deposit of fifty percent (50%) of the total Invoice is payable within seven (7) days from Invoice issuance to secure production.

    6.2 Cancellation after deposit results in forfeiture of all sums paid.

    6.3 The Company will communicate an estimated timeline, which remains subject to availability of materials, scheduling, and unforeseen contingencies.

    6.4 Requests for an accelerated delivery date may be entertained only if feasible within the Production Calendar and shall incur a rush surcharge of thirty percent (30%) of the Invoice value.

    6.5 Once production commences, no amendments will be accepted.

    6.6 The Company shall not be held liable for delays occasioned by force majeure, market disruption, or other causes beyond its reasonable control.

  • 7.1 Goods are produced strictly to the measurements provided.

    7.2 The Company disclaims liability for inaccurate sizing information provided by the Client or third parties.

    7.3 Changes in the Client’s physical measurements post-engagement are not a fault attributable to the Company.

    7.4 The first resizing, within two (2) standard sizes, is complimentary.

    7.5 Substantial resizing incurs a RM300 charge or separate quotation.

    7.6 Where a complete remake is required, it shall be treated as a new commission with an independent timeline.

  • 8.1 Accepted payment methods: cash, bank transfer, credit card, TransferWise, PayPal.

    8.2 Payment is due in accordance with deadlines stated in the Invoice.

    8.3 Work shall cease upon default of payment, with resulting delays borne solely by the Client.

    8.4 Gemstone procurement requires full payment upfront.

    8.5 Bespoke projects are payable as follows:

    • (a) 50% deposit to commence production;

    • (b) Balance 50% upon completion; the Commitment Fee is applied toward this balance.

    8.6 Ready-made and made-to-measure items require full advance payment.

    8.7 All sales are final and non-returnable.

  • 9.1 Outstanding balances must be settled prior to or upon collection.

    9.2 The Client shall inspect the Goods at handover; once Goods leave the Company’s premises, risk passes to the Client.

    9.3 Where a proxy collects on behalf of the Client, the Company requires prior written authorisation identifying the proxy.

    9.4 The proxy shall present valid identification and sign a delivery order confirming receipt and inspection.

  • 10.1 Production may be postponed once, penalty-free, for a maximum of one (1) month.

    10.2 Pricing may be subject to adjustment after one (1) month of postponement.

    10.3 Collection may be deferred up to six (6) months from the agreed date without penalty.

    10.4 Storage beyond six (6) months incurs RM200 per month (maximum twelve (12) months).

    10.5 Goods held in storage remain at the Client’s risk; the Company disclaims liability for damage or loss.

    10.6 Failure to collect within the storage period results in automatic cancellation and forfeiture of payments.

    10.7 Uncollected or unpaid Goods become the property of the Company, which may dispose of them at its sole discretion.

  • 11.1 All balances must be cleared prior to shipping.

    11.2 Shipments are effected via DHL Express with full-value declaration and insurance at the Company’s expense.

    11.3 The Company shall not be responsible for delays, damage, loss, or customs interventions once consigned to the carrier.

    11.4 Import duties, taxes, and ancillary charges remain the sole responsibility of the Client.

    11.5 In-person delivery may be arranged by prior agreement; travel, accommodation, and logistical expenses are borne by the Client in advance.

  • 12.1 The Client shall exercise reasonable care, avoiding exposure to harsh chemicals, undue impact, or misuse.

    12.2 Warranty excludes loss or damage to the primary stone after handover.

    12.3 Manufacturing defects attributable to the Company will be remedied as mutually agreed.

    12.4 Normal wear and tear is not covered.

    12.5 Any intervention by third-party jewellers voids all warranties.

  • 13.1 Complimentary annual inspection and cleaning is available by appointment.

    13.2 Additional services (e.g., prong tightening, repolishing, major resizing) are subject to a separate quotation.

    13.3 Works undertaken by any other jeweller immediately voids warranty.

    13.4 Preference changes or subjective dissatisfaction shall not be construed as a defect.

  • 14.1 The Client shall be punctual for scheduled appointments.

    14.2 Any rescheduling request must be communicated at the earliest opportunity.

    14.3 Delays or repeated rescheduling may impact production timelines; the Company disclaims liability therefor.

  • 15.1 These Terms shall be governed by and construed in accordance with the laws of Malaysia.

    15.2 Any dispute not resolved amicably shall be referred to the exclusive jurisdiction of the courts of Malaysia.

    By proceeding with a booking, payment, or commissioning work from Functions of Time Sdn. Bhd., the Client acknowledges acceptance of the foregoing Terms.
